Other than resource consumption, no real downside. I typically put the SRM database on the same server as my vCenter database, but that's certainly not required.

Correct. NTP is not relevant. The replication scheduler simply does not coordinate replica instance creation for different VMs order than to not overload the source ESXi and network.
